These Terms of Engagement ("Terms") govern the services provided by Hook Labs Media ("Agency", "we", "us", or "our") to our clients ("Client", "you"). By engaging our services, you agree to comply with and be bound by these Terms.

1. Scope of Services

We provide full-service marketing, creative direction, and digital strategy services. The specific scope of work, deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

2. Payments and Fees

All invoices are payable within 15 days of receipt unless otherwise specified in the SOW. Late payments may incur an interest charge of 1.5% per month. As a registered MSME under the MSMED Act, 2006, delayed payments are subject to statutory interest as prescribed by the Government of India. All fees are exclusive of GST, which will be charged as applicable (GSTIN: 07ARPPP1995B1ZG).

3. Intellectual Property Rights

Upon full payment of all outstanding invoices, the Client is granted full ownership and rights to the final deliverables as described in the SOW. The Agency retains the right to use the completed project and any preliminary designs for promotional purposes, portfolios, and marketing, unless a separate Non-Disclosure Agreement (NDA) prohibits such use.

4. Confidentiality

Both parties agree to keep all proprietary information, trade secrets, and business strategies strictly confidential and will not disclose them to any third party without prior written consent, except as required by law.

5. Limitation of Liability

The Agency shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided. Our maximum liability under any circumstance shall be limited to the total fees paid by the Client for the specific project in dispute.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.
